IEARN Terms of Service

1. Agreement to Terms

1.1 By accessing the iEarn product (“Product”) through this wallet (“Wallet”) and/or using the services provided by the Product, you agree to be bound by these terms of service (“Terms”) and all applicable laws, rules and regulations (“Laws”). It is your sole responsibility to ensure compliance with the Laws. If you do not agree with the Terms, please leave this page immediately and do not use the Product and/or any of its services.

2. Use of Product

2.1 The Product owns all rights, titles and interest in the Product and all related services, technology and intellectual property rights. Subject to the Terms, the Product grants you a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to use the Product and its related services in accordance with the Terms. Except as provided in this Clause 2.1, no rights are granted to you under these Terms. 

2.2 You shall not use the Product in any manner unless expressly permitted by these Terms, including, but not limited to, attempting to:

(i) modify, distribute, alter, tamper with, repair or otherwise create derivative works of any content of the Product;

(ii) reverse engineer, disassemble or decompile the Product; and/or

(iii) use scraping techniques to mine or otherwise scrape data.

 3. Product Overview

3.1 The Product allows you to lock assets supported by the Product (“Assets”) in your Wallet for a predetermined period (“Maturity Period”) in exchange for interest. After the end of the Maturity Period, you will be able to withdraw your Assets and receive an interest on top of the initial amount of Assets locked. After the Maturity Period, you can choose to withdraw your Assets, including the interest accrued, to your Wallet. In the event the Product is discontinued, you will be able to withdraw your Assets from the Product to the Wallet. For the avoidance of doubt, you will not be able to withdraw your Assets, including any interest accrued, until the end of the Maturity Period.

3.1.1 Fixed Duration: Provided that the asset is not fully sold out or removed from the Product, upon your deposit the interest is calculated based on a T+1 method, whereby interest will only be accrued on T+1 if the deposit was made before the stipulated daily interest calculation time (“Interest Calculation Time”). All assets deposited after the relevant Interest Calculation Time will accrue interest commencing from T+2.

3.1.2  Event:  There is a stipulated period of time whereby you may deposit your assets to participate. Interest starts to accrue when the event commences.

3.2  After the end of the Maturity Period, you can withdraw your Assets, along with all accrued interest, to your Wallet. After the Maturity Period has passed, all Assets not withdrawn will not earn any interest.

3.3 All gas fees incurred in your use of the Product shall be borne by you.

3.4 The interest rates displayed on this page are for reference only and is subject to change. The actual interest received shall be the amount you withdraw at the end of the Maturity Period. The Product shall not be liable to you for any difference between the advertised interest rate and the actual interest you receive when you withdraw your Assets at the end of the Maturity Period.

4. Undertaking and Acknowledgments

4.1 You undertake and agree to the following:

(i) you shall not use the Product for any illegal purposes pursuant to any Laws;

(ii) you shall not act in a manner which may result in the damage of the Product;

(iii) you shall not act in a way which infringes on the rights and/or interests of other users of the Product;

(iv) you shall not use the Product in a manner in breach of these Terms or in contravention with any announcements or guidelines released by the Product;

(v) you shall be liable to the Product for any losses incurred by the Product as a result of a breach of these Terms;

(vi) the Product shall have the discretion to change or discontinue any or all of its services and/or functionality from time to time for any reason whatsoever; and/or

(vii) you shall defend, indemnify and hold harmless the Product from and against any losses arising out of or relating to any claim concerning the breach of any of these Terms, a violation of Laws by you or a dispute arising between you and a third party in relation to the Product or any of its services.

5. Disclaimer

5.1  The Product is provided on an ‘as is’ and ‘as available’ basis. You are advised to safeguard important data, including the private keys of your Wallet, and to use caution in your use of the Product and not rely on the correct functioning of the Product and its related services. The Product makes no warranties, express or implied, and disclaims and negates all other warranties, including and without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, non-infringement of intellectual property or other violations of rights.

6. Limitations

6.1 The Product shall not be liable for any damages (including, without limitation, damages for loss of data or profit, or due to suspension of services) arising out of the use or inability to use the Product or the content on this page.

7. Accuracy

7.1 The Product does not warrant that any of the content on this page is accurate, current or complete. The Product reserves the right to make changes to the page at any time without notice and shall not have the obligation to update the page from time to time.

8. Links

8.1 The Product has not reviewed any links to this page and is not responsible for the content of any such links to this page. Any inclusion of links does not imply endorsement by the Product and shall be used at your own risk.

9. Amendments

9.1 The Product may revise these Terms at any time without notice to you. By accessing this page and/or using the Product and its related services, you agree to be bound by the latest version of these Terms.

10. Miscellaneous

10.1 You shall not assign or otherwise transfer any of your rights under these Terms. Any such assignments or transfers will be void.

10.2 The Product shall not be liable for any failure or delay to provide any services due to circumstances not within its control, including and without limitation, power failures, system failures, acts of god, collapse of the digital asset market, unexpected accidents and causes on the part of third parties and shall not assume any responsibility for such failure or delay to provide any services or the resultant loss you may sustain due to such failure or delay.

10.3 You shall not use the Product if you are below the age of majority in your relevant jurisdiction.

10.4 These Terms do not create any third party rights that are not party to these Terms.

10.5 The failure of the Product to enforce any of the Terms shall not constitute a present or future waiver of any such Term nor limit its rights to enforce such Term at a later date.

10.6 If any of the Terms are held to be invalid or unenforceable, that Term shall be severable from the remaining Terms and shall not affect the validity or enforceability of the remaining Terms.

10.7 These Terms shall constitute the entire agreement between you and the Product.

10.8 When you provide feedback on the Product over email, you agree for your feedback to be used in relation to the Product without notice, restriction or remuneration of any kind to you.
